Affiliate Referral Program Terms & Conditions (Affiliate Policy I)

1. Definitions

1.1 Activation Period means the days from the day the Referral Link is first clicked on by the Referred Customer.

1.2 Agreement means the agreement formed between the parties under these Referral Program Terms & Conditions.

1.3 Company means Proof-Of-Lightwork FZ LLE (POL).

1.4 CCC or Conscious Crypto Circle means the Company’s private membership digital platform accessible at ccc-membeship.com which is operated by POL.

1.5 Member means a paying customer of Conscious Crypto Circle (CCC) operated by Proof-Of-Lightwork (POL).

1.6 Referral Credit means a credit to the subsequent disbursement account.

1.7 Referral Link means the unique referral link of a Referrer.

1.8 Referral Program means the Company's referral program for the Conscious Crypto Circle Portal, where Referrers are eligible to receive Referral Credits.

1.9 Referral Customer means a new Member who signs up via a Referral Link.

1.10 Referrer means a person/company/organization who refers a Referred Customer.

1.11 Subscription Fee means the subscription fee payable by Member to access Conscious Crypto Circle Portal.

1.12 New Member means Referred Customer.

1.13 Member Affiliate means a standard Referrer of the CCC Affiliate Program Referrer who refers a Referred Customer.

1.14 Influencer Affiliate means a particular Referrer of the CCC Affiliate Program who recruits a Referred Customer. Specific requirements must be met in order to receive Influencer Affiliate status and the associated compensation terms (See 3.4 [j])

2. Agreement

2.1 The terms and conditions of this Agreement shall bind the Company and Referrer with respect to the Referral Program.

2.2 The Company may amend, replace or discontinue the Referral Program at any time at its sole discretion by written notice.

3. Referral Terms

3.1 Referral Program

(a) The Company will award a Referral Credit to the Referrer when the Referred Customer becomes a Member on the terms of this Agreement.

3.2 Referral Link

(a) The Company will provide the Referrer with their own Referral Link.

(b) The Referral Link is accessible by the Referrer via CCC within the Member’s account or will be provided by CCC Management.

(c) The Referrer may share the Referral Link share directly to third parties as they see fit.

(d) Where clicked, the Referral Link will open to the CCC website with a unique URL to identify the Referred linked to the Referral Link.

3.3 Member Sign Up

(a) Upon clicking the Referral link, the Referred Customer must successfully complete the Company’s Standard sign up process to become a Member, which shall include (without limitation):

1. Entering their personal information;

2. Creating login details;

3. Selecting desired membership plan (if offered);

4. Selecting desired payment terms;

5. Paying the applicable Subscription Fees;

3.4 Referrer Credits

(a) The Referrer will be awarded the Referral Credit provided the following conditions are met:

1. The Referred Customer pays Subscription Fee equals to minimum one annual membership fee or more excluding the value of any Referral Credit (Subscription Threshold); and

2. The Referred Customer does not obtain a refund on Subscription Fee such that the condition under 3.5 (a)(i) above are met.

(b) For clarity, if the Referred Customer does not satisfy the Subscription Threshold due to canceling their subscription as a Member and/or obtaining a refund on Subscription Fee, then no Referral Credits will be awarded to the Referrer.

(c) Where the Referrer meets the conditions under (a) above and is eligible for the Referral Credit, then the Referral Credit will be awarded to the Referrer’s account within 30 days of the condition under (a) being met.

(d) If the payout amount exceeds $3,000, the company will retain a 10% security deposit on the payout amount for a maximum of 6 months to compensate for possible cancellations or rescissions.

(e) The Referrer’s Referral Link may be applied and used by more than one Referral Customer such that the Referrer may continue to accrue Referral Credits on an ongoing basis. There shall be no cap on the value of Referral Credits the Referrer may accrue from their Referral Link.

(f) The Referrer may view and track the status and awards for Referral Credits within their account.

(g) All accrued Referral Credits will be held in the Referrer's account and the balance will be paid to the Referrer within 30 days.

(h) The referrer must provide POL with its disbursement information on time. A payout can only be made after complete transmission.

(i) The disbursement information shall be completed in full at the end of this Agreement in accordance with the requirements.

(j) The amount of the loans is staggered as follows:

11 to 20 referrals (according to 3.4 a) (i) and (ii) will be credited once with 15% of the annual membership fee paid.
21 or more referrals (as per 3.4 a) (i) and (ii) will receive a one-time credit of 20% of the annual membership fee paid.

(k) Our mutually agreed fees/consideration is inclusive of local/international tax(es) if any taxes are applicable in the jurisdiction of the service provider.

3.5 Limitations

(a) The Referral Credit will only be awarded where a Referral Link is used when signing up to CCC, even if the Referred Customer signed up with the intention of participating in the Referral Program.

(b) The Referral Credit shall only be eligible to new Members only and not for the previous Member who previously had access to CCC.

4. Conditions

4.1 By entering this Agreement, the Referrer agrees to be bound by this Agreement and any special conditions appearing on the Company’s website (Affiliate Policy “I”) specific to the particular Referral Program.

4.2 The Affiliate Influencer status is linked to the following criteria:

The referrer maintains, owns, or manages many contacts in the form of email lists, social media account(s), CRM, or similar management tools with which he can make targeted advertising or recommendations. Usually, the quantitative amount of such contact lists is not less than 3000 leads. Of course, the list can be smaller in exceptional cases, but this must be checked on a case-by-case basis.
The final result in the form of enrolled new members according to point 3.3 should not be less than 11.
If it turns out that an Affiliate Program Member does not meet the requirements of the Affiliate Influencer status, the referrer can be converted to the status and the associated conditions of the Affiliate Program for Members (Affiliate Members "M"). POL and the referrer decide whether it makes sense to carry out an exclusive approach to the contacts. Exclusive addressing can be done, e.g., by an event (webinar, masterclass, or similar) tailored to the community. The number of participants present at such an event should not be less than 350. Experience shows that 350 participants require at least 600 to 700 registrations.

5. Assignment and Notices

5.1 The Referral Program, and any benefit under the Referral Program, shall be linked to the individual referrer only. The Referrer may not assign or create an interest in this Agreement without the written permission of the Company.

5.2 A consent, notice, or communication under this Agreement is effective if it is sent as an electronic communication unless required to be physically delivered under law. The notice must be sent to the parties’ most recent known contact and/or within CCC or POL.

6. Indemnity and Refund

6.1 The Referrer agrees to indemnify the Company for any loss, damage, cost, or expense that the Company may suffer or incur as a result of or in connection with the Referrer´s participation in the Referral Program, including any breach by the Referrer of this agreement.

6.2 Where the Company awards the Referral Credit to the Referrer in accordance with this agreement, and later determines that the Referrer was in fact not entitled to the Referral Credit, whether intentional or otherwise, the Company reserve the right to make a claim against the Referrer for the value of the Referral Credit in full.

7. Disclaimer

7.1 The Company makes no, and hereby disclaims all representations or warranties of any kind which may be constructed as, investment or tax advice or a recommendation or promotion of any transaction or other financial product or trading or investment strategy.

8. Governing Law

8.1 This agreement is governed by the laws of the United Arab Emirates and each party hereby submits to the non-exclusive jurisdiction of courts with jurisdiction there.

9. Prevalence

9.1 Tothe extent that the terms of this Agreement are inconsistent with any other communications or materials, the terms of this Agreement shall prevail.

10. Acceptance of the Terms & Conditions

10.1 Opening the affiliate account at the link: ccc-membership.com/affiliate_users/sign_up automatically accepts the terms and conditions listed in this document.
